Terms of Service

By accessing or using OwlScore (the "Service"), operated by OwlScore, a fully owned company of CarmeAI ("we," "us"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. The Service

OwlScore publishes algorithmically-generated stock scores, grades, predictions, and related research tools (natural-language scanner, claim verifier, research memos), together with a public, tamper-evident ledger of every prediction we issue and its graded outcome. See our Disclaimer for what the Service is not.

2. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@carmeai.com of any unauthorized use.

3. Subscription plans and billing

• Free plan: no charge, subject to the usage limits described on our pricing page.
• Pro plan: billed monthly or annually via Stripe, at the price displayed at checkout. Subscriptions renew automatically until cancelled.
• You authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel.
• You may cancel anytime through the billing portal; cancellation takes effect at the end of the current billing period. No refunds are provided for partial subscription cycles.
• We may change prices with at least 30 days' notice for existing subscribers.

4. Acceptable use

You agree not to:

• scrape, systematically extract, or redistribute the Service's data or content beyond what our public ledger and API (if any) explicitly permit;
• use the Service to violate any applicable securities, gambling, or other law;
• misrepresent our published scores, ratings, or track record as personalized advice to any third party;
• attempt to interfere with, disable, or circumvent any security or rate-limiting feature of the Service;
• use automated means to create accounts or access paid features without payment.

5. Intellectual property

The Service, including our scoring methodology, software, design, and content (excluding the public ledger, which is separately licensed — see §6), is owned by OwlScore and protected by applicable intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

6. Public ledger license

Our prediction ledger (published to a public repository) is provided under the MIT open license to support independent verification. Our proprietary scoring methodology, source code (outside the ledger), and Pro-tier content are not covered by that license.

7. No investment advice

See our Disclaimer, incorporated by reference into these Terms. Nothing in the Service constitutes personalized investment advice or a recommendation to buy, sell, or hold any security.

8. Disclaimers of warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SCORE, PREDICTION, OR DATA WILL BE ACCURATE OR COMPLETE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWLSCORE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ANY CONTENT IT PUBLISHES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold OwlScore harmless from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Service.

11. Termination

We may suspend or terminate your account for violation of these Terms. You may stop using the Service and cancel your subscription at any time.

12. Dispute resolution

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with standard commercial arbitration rules, rather than in court.

13. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.
